  10. ADDENDUM TO THE @860 LIMITED PARTNERSHIP AGREEMENT

  13. @001, constituting all of the general partners of the @860
  14. limited partnership and @002, constituting all of the limited
  15. partners of @860, agree:

  18. The general partners shall be indemnified by the partnership from
  19. all liability related to their actions taken on behalf of the
  20. limited partnership, provided that the actions to be indemnified
  21. were undertaken in good faith, and do not constitute criminal
  22. acts or any act of intentional misconduct.

  25. In the event that a dispute occurs between the limited
  26. partnership and a partner as to whether or not an action is
  27. properly subject to this indemnity the dispute shall be submitted
  28. to arbitration before a single arbitrator under the rules of the
  29. American Arbitration Association. Any decision rendered by the
  30. arbitrator shall be final and may be entered as a judgment in any
  31. court having jurisdiction.
